Why It Matters
One executive held both jobs, and the filing replaces him with two people. Zerza’s title was “Chief Financial Officer and Chief Operating Officer,” a combined role. Corson takes the COO title and Dickler takes the CFO title on an acting basis. The search the company announced covers only “a new Chief Financial Officer,” in the filing’s words, so no search for the combined role was announced.
The succession leans entirely on tenure already inside the building. Dickler joined the company in May 2005, 21 years ago, and has been its chief accounting officer since October 2011. Corson has run Warner Records as Co-Chairman and COO since January 2018, 8 years, after nearly 18 years at RCA Music Group. The filing states there are no arrangements or understandings behind either appointment.
The event is dated July 31, and the 8-K was accepted at 17:00:20 Eastern the same day, a Friday. Item 5.02 allows four business days to file, which would have run to August 6. Warner Music filed on day zero.
Two press releases, one for each half of the job
The 8-K attaches two separate releases: Exhibit 99.1 for the finance transition and Exhibit 99.2 for Corson’s promotion. “Armin has been an instrumental leader and member of the executive team during a crucial period of growth and transformation,” Kyncl said in the first. The second lists Corson’s new scope, in its words, as “global marketing, merch, D2C, supply chain and more” across the organization.
Corson, 66, keeps his Warner Records post alongside Co-Chairman and CEO Aaron Bay-Schuck “for a transitional period,” the release says. It credits the pair with chart success for artists including Madonna, Dua Lipa, Zach Bryan and Linkin Park. This filing discloses no pay terms for either appointee. The acting CFO has done this exact job before
Dickler, 48, served as Acting CFO from November 11, 2021 to February 15, 2022, a stint the filing dates, 96 days by count, during a former CFO’s temporary medical leave. He keeps his existing titles while acting, so one person now holds the Acting CFO, Global Controller and Chief Accounting Officer roles at once. He began at KPMG as an audit manager and joined the company in May 2005 as Associate Director of Corporate Finance.

What to watch
- The 8-K naming the next CFO. The company “has commenced a search,” the filing states. The line to read is whether the hire comes from inside, as both of these appointments did.
- Warner Music’s next Form 10-Q certifications. If the acting arrangement is still in place, the signature block will show who certifies as principal financial officer.
- The next proxy statement’s officer-compensation table. This filing discloses no separation or appointment terms. The proxy’s officer-compensation table is one place such arrangements, if any, would appear.
